The use of "Silmarillion Materials" is conditioned on SZC actually gaining rights to them, which they do not currently have:
"j. Silmarillion Materials. If during the Term, SZC acquires rights to any content, works of authorship or trademarks included in The Silmarillion that are protected by copyright, trademark or other intellectual property rights (the “Silmarillion Materials”), on terms that permit SZC to grant Licensee the licenses granted under Section 2.a (Rights in Licensed Product) on the terms and conditions of this Agreement with respect to such Silmarillion Materials, then Licensee shall promptly notify Licensee in writing of such acquisition of rights (the “Silmarillion Notice”)."

Plus, there's no real reason for the Estate to sell the rights to SZC. They would be more likely to simply enter into agreements themselves to license (& control) "Silmarillion" material. They don't really need SCZ.

This is specifically talking about the MMO game that Amazon Technologies are part of and is pretty standard. It gives Leyou/Amazon Technologies first refusal to license the content should SZC obtain rights to The Silmarillion. It even states that SZC are not expected to make any effort to gain such rights.
From what I read this says nothing about the future of the franchise and as Khamûl points out the Estate has no reason to sell those rights.
This is an industry standard agreement that simply protects Leyou/Amazon's potential future growth using IP related to their already licensed IP.
